Service Description
Bookkeeping CLI is a technology service that connects your accounting software to AI assistants using the Model Context Protocol (MCP). The Service acts as a bridge between your existing accounting platforms (such as Billy, Dinero, or e-conomic) and AI assistants (such as Claude or ChatGPT).
We are not accountants, bookkeepers, auditors, tax advisors, or financial consultants. We do not provide financial, tax, or legal advice. The Service is a technology facilitator only.
User Accounts
To use certain features of the Service, you must create an account. You are responsible for:
• Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
- Providing accurate and complete registration information
We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.
API Keys and Credentials
The Service requires you to provide API keys or credentials from your accounting software providers. You are solely responsible for:
• Obtaining proper authorization to use these API keys
- Keeping your API keys secure and confidential
- Any actions taken using your API keys through the Service
- Complying with the terms of service of your accounting software providers
We store your API keys securely and encrypted. However, you acknowledge that you provide these credentials at your own risk.
Privacy and Data
Your privacy is important to us. Our Service uses a local-first architecture where:
• Your API keys are stored locally on your machine and encrypted
- Financial data flows directly between your AI assistant and accounting software
- We do not access, read, or store your actual financial data
- We only store basic account information necessary for authentication

Acceptable Use
You agree not to use the Service to:
• Violate any applicable laws or regulations
- Infringe on intellectual property rights of others
- Transmit malware, viruses, or harmful code
- Attempt to gain unauthorized access to our systems

- Use the Service for any fraudulent or illegal purpose
- Resell or redistribute the Service without authorization
- Use automated systems to access the Service in violation of usage limits
Subscriptions and Payments
The Service offers various subscription plans including a free tier with limited features. Paid subscriptions are billed in advance on a monthly or yearly basis.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
We do not warrant that:
- The Service will be uninterrupted or error-free
- Results obtained from the Service will be accurate or reliable
- The Service will meet your specific requirements

Limitation of Liability
To the maximum extent permitted by law, Happenings Group A/S shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
• Loss of profits, data, or business opportunities

- Errors or inaccuracies in the Service
- Actions taken based on Service output
Our total liability shall not exceed the amount you paid for the Service in the twelve months preceding the claim.
Indemnification
You agree to indemnify and hold harmless Happenings Group A/S, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:
• Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Your API key usage and any related activities
Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including:

- Non-payment of fees
- Suspected fraudulent or illegal activity
- Upon your request
Upon termination, your right to use the Service ceases immediately. Provisions that should survive termination will remain in effect.
Changes to Terms

- Sending an email to registered users
- Displaying a notice within the Service
Your continued use of the Service after changes constitutes acceptance of the modified Terms.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of Denmark, without regard to conflict of law principles.
Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Denmark.
